The Board of ANDDA meets continually via a Yahoo Group. Members are welcome to join that group and watch the proceedings.

April 7, 2010 President's Summary

A rather long list of recently completed activities;

It was unanimously voted to put One Day Milk Test results on the website.

Total Performer contest carried out and winner announced.

All American contest carried out and winners announced.

Election ballots and procedures approved.

New Member Packets completed, approved and mailed.

Jim went through the Yahoo Members Group list and completely updated it, and cleaned it up.

Requested ANDDA information change on the ADGA website and News and Events.

Margie created an Auto Response for our ANDDA email.

Laura Manary was appointed as our new ADGA liaison.

Margie created information gathering polls for the members list.

January 8, 2010 Report

New All American Committee assignments: Margie Dykstra and Ken Feaster-Eytchison were appointed as the new AA Committee. Thanks to Heather Fair for heading up this Committee last year, and to Jim McGonagle for getting pictures to the judges.

The Board put in place a Bylaw (procedure) to protect use of the ANDDA Logo. While the logo and name are copyright protected, the procedure just clarifys that permission must be granted if the name and Logo are being used for things other than Board business. Members may, of course, use the logo and name to indicate that they are members and to link back to the ANDDA site.

New Total Performer Committee: Keith Harrel resigned from this committee and we thank Keith for his service to the group. The new Committee is: Donna Neill, Dianae Fay and Margie Dykstra. There are some questions about how the pictures are "judged" for this program and the committee will be looking into that.

December: Sue Ausman and Jane Bailey (Chair) were appointed as the new Election Committee. Nominations are now being accepted for the following ANDDA Board positions: President, VP, Eastern Director, Western Director. Nominees must be members in good standing for 90 days. The following Constitutional change will be sent to the membership as soon as possible for voting. (NOTE - the change was passed by the membership!)

Rationale/explanation: Pros: We are already meeting online and we need the Constitution to reflect that. Procedures (bylaws) will follow that will spell out more clearly how online meetings are organized. This wording is taken nearly verbatim from the Bylaws of a US incorporated group that meets
exclusively online and has functioned under these rules for several years. Cons: None were noted.

REPLACE Article VIII (Meetings of the Board of Directors), sections 1, 2,3,
6, and 7 with the following

Section 1 Regular Meetings (On-going Meetings)

On-going business will be conducted through Internet discussion mailings or via other Internet-based communication applications. While normal meeting procedures and rules will be used in regard to quorums, votes, and motions, these meetings will not be "called to order" nor "adjourned." In some special emergency situations, the on-going meeting may be adjourned, with a specific date/time set for a new call to order.

Section 2 Special Meetings

The Board may elect to have a face-to-face meeting annually. Whenever possible, this meeting will be held at a national event such as the ADGA
Convention.

Section 3 Quorum for Meetings

A quorum shall consist of a simple majority of the members of the Board of Directors. Except as otherwise provided under the Articles of Incorporation,
these Bylaws, or provisions of law, no business shall be considered by the Board at any meeting at which the required quorum is not present. In the
case of online meetings, members shall be deemed to be present unless they have notified the Board of Directors or the President, of their absence.


Section 4 Conduct of Meetings

Meetings of the Board of Directors shall be presided over by the President, or in his or her absence, the Vice President, or in the absence of each of
these persons, by a Chairperson chosen by a majority of the Directors present at the meeting. The Secretary of the Corporation shall act as
Secretary of all meetings of the Board, provided that in his or her absence, the presiding officer shall appoint another person to act as Secretary of
the Meeting. The rules contained in the current edition of Robert's Rules of Order, Newly Revised, shall govern the Board of Directors in all cases to
which they are applicable and in which they are not inconsistent with these bylaws and any other special rules the Board may adopt. The issue in all
voting of the Board of Directors shall be determined by a simple majority of the votes cast.

Section 5 Action Without Meeting

Any action required or permitted to be taken by the Board of Directors may be taken without a meeting if all members of the Board, individually or
collectively, consent in writing to that action. Such action by written consent shall have the same force and effect as a unanimous vote of the
Board of Directors. Notice of such written consent or consents will be filed with the minutes of the proceedings of the next subsequent meeting of the
Board.
